JSE censures Eswatini-linked KOBWA over Executive Director appointment

Mbabane: The Johannesburg Stock Exchange (JSE) has publicly censured the Komati Basin Water Authority (KOBWA), a regional water entity jointly linked to Eswatini and South Africa, after finding repeated failures to comply with mandatory disclosure rules governing listed debt issuers.
The censure comes after KOBWA delayed announcing the appointment of its Executive Operations Director, which took effect on 11 August 2025 but was only disclosed to the market on 19 November 2025. The JSE said this amounted to a clear breach of paragraph 6.42(a) of its Debt and Specialist Securities Listings Requirements (DSS Listings Requirements), which require timely disclosure of all changes to directors and senior executives.
KOBWA is a cross-border public entity operating within the Komati River Basin and is jointly overseen by participating governments, including Eswatini. Because of its listing status, it is required to comply with strict transparency obligations to ensure that investors and stakeholders receive timely and accurate information affecting governance and operations.
According to the JSE, the late disclosure deprived the market of timely information about a key executive appointment and therefore undermined the principles of transparency and fair market conduct.
The exchange further noted that this was not an isolated incident. KOBWA has now recorded four separate compliance breaches in recent years. These include late announcements relating to executive and board changes in 2022, another board-related disclosure delay in 2023, a delayed announcement of new auditors in 2025, and the most recent failure involving the Executive Operations Director appointment.
The JSE said the pattern of repeated non-compliance raised serious concerns about the effectiveness of KOBWA’s internal governance and compliance systems. Despite previous regulatory engagement and earlier warnings, the issuer has continued to miss critical disclosure deadlines.
“The timely publication of SENS announcements is essential to maintaining transparency and ensuring a fair and orderly market,” the JSE stated, stressing that disclosure rules are central to investor protection and market confidence.
The regulator further expressed concern that KOBWA had previously relied on its internal governance structures and advisory support to prevent such lapses, yet the recurrence of delayed announcements indicated persistent weaknesses in its compliance framework.
In its ruling, the JSE concluded that KOBWA’s continued failure to meet its obligations was unacceptable, particularly given its history of prior breaches. It said the conduct reflected an ongoing disregard for the requirements imposed under the DSS Listings framework.
As a result, the JSE imposed a public censure on KOBWA and issued a financial penalty of R500,000. However, the fine has been suspended for three years on condition that the entity does not commit any further breaches during that period. Should another violation occur within that timeframe, the penalty may be enforced in full.
